1. Acceptance of Terms

• Collect or harvest any personally identifiable information from the Site without authorization;
• Use the Site for unsolicited commercial communications (spam);
• Interfere with or disrupt the integrity or performance of the Site or the data contained therein;
• Circumvent or attempt to circumvent any security features or access controls on the Site;

• Place fraudulent orders, submit false catering requests, or abuse any promotional offer or loyalty program.

Violation of any prohibited activity may result in immediate termination of your account, referral to law enforcement authorities, and/or civil legal action against you. We reserve the right to investigate any suspected violations and take appropriate legal and/or technical measures in our sole discretion.

4. Account Registration and Security

Certain features of the Site may require you to register for an account. When you register, you agree to provide accurate, complete, and up-to-date information. You are solely responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account, whether or not authorized by you.

We reserve the right to refuse registration, cancel accounts, or remove or edit content at our sole discretion, particularly where we believe such action is necessary to protect the integrity of the Site or the safety of our users or staff.

5.1 Ownership

All content on the Site, including but not limited to text, graphics, logos, photographs, images, audio clips, digital downloads, data compilations, software, menu items, brand names, and the overall look and feel of the Site (collectively, "Content"), is the exclusive property of Hangry Joe's or its licensors and is protected by United States and international copyright, trademark, trade dress, patent, and other intellectual property laws.

The Hangry Joe's name, logo, trade dress, and all related marks are registered or common law trademarks of Hangry Joe's. Nothing in these Terms grants you any license or right to use any trademark, service mark, logo, or trade name of Hangry Joe's or any third party without our prior written consent.

5.2 Limited License to Users

Subject to your compliance with these Terms, Hangry Joe's grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Site and its Content solely for your personal, non-commercial purposes, such as browsing our menu, placing a food order, or submitting a catering inquiry. This license does not include the right to:

• Reproduce, distribute, publicly display, or create derivative works from any Content;
• Use the Content for any commercial purpose or for any public display;
• Remove any copyright, trademark, or other proprietary notices from the Content;
• Republish, upload, post, or transmit the Content on any other website or medium.

Any use of the Site or its Content not expressly permitted by these Terms is a breach of these Terms and may constitute an infringement of copyright, trademark, or other intellectual property rights, subjecting you to civil and/or criminal liability.

5.3 User-Submitted Content

If you submit any content to the Site, including reviews, comments, feedback, or images ("User Content"), you grant Hangry Joe's a worldwide, irrevocable, royalty-free, non-exclusive, sublicensable license to use, reproduce, adapt, publish, translate, distribute, and display such User Content in connection with our business. You represent and warrant that you own or have all necessary rights to submit User Content and that it does not infringe any third-party rights.

6. Online Ordering and Payment Terms

6.1 Order Placement

When you place an order through the Site, you are making an offer to purchase food items and/or services subject to availability. Hangry Joe's reserves the right to accept or decline any order at our discretion. An order confirmation sent to your email address does not constitute binding acceptance until the order has been prepared and/or confirmed by our staff.

All menu items are subject to availability. We reserve the right to substitute items or cancel orders if a particular item is unavailable. In such cases, you will be notified promptly, and any prepaid amounts will be refunded.

6.2 Pricing

All prices displayed on the Site are in United States Dollars (USD) and are subject to change without prior notice. Applicable sales tax will be calculated and added to your order total at checkout in accordance with applicable federal, state, and local tax laws. We strive to display accurate pricing; however, if a pricing error occurs, we reserve the right to cancel the affected order and issue a full refund.

6.3 Payment Processing

We accept payment via major credit cards, debit cards, and other payment methods specified at checkout. By submitting your payment information, you authorize Hangry Joe's or its third-party payment processors to charge the applicable amount to your chosen payment method. You represent and warrant that you have the legal right to use the payment method you provide.

Hangry Joe's does not store full payment card information on its servers. All payment processing is handled through secure, PCI-DSS compliant third-party processors. We are not responsible for errors or omissions by any third-party payment processor.

6.4 Refunds and Cancellations

Refund and cancellation requests are evaluated on a case-by-case basis. If you are dissatisfied with your order for any reason, please contact us at [email protected] within twenty-four (24) hours of your order. We will work with you in good faith to address the issue. Refunds, if approved, will be issued to your original payment method within five to ten (5–10) business days, subject to your bank's processing times.

7. Food Allergens and Dietary Information

Hangry Joe's endeavors to provide accurate and up-to-date information regarding menu ingredients, allergens, and nutritional content. However, food items are prepared in a shared kitchen environment where cross-contamination with common allergens — including but not limited to nuts, gluten, dairy, eggs, shellfish, and soy — may occur.

You acknowledge that menu items and ingredients may change without notice. Hangry Joe's is not liable for any allergic reaction, adverse health event, or dietary harm arising from consumption of our food products, to the fullest extent permitted by applicable law.

8. Third-Party Links and Services

The Site may contain links to third-party websites, applications, or services, including delivery platforms, social media platforms, and payment processors. These links are provided for your convenience only. Hangry Joe's does not endorse, control, or assume any responsibility for the content, privacy practices, or terms of any third-party websites or services. Your use of any third-party sites is governed solely by the terms and policies of those third parties, and we encourage you to review them carefully.

Hangry Joe's shall not be liable for any damage or loss caused or alleged to be caused by or in connection with your use of or reliance on any content, goods, or services available on or through any such third-party sites or services.

9. Disclaimers and "As-Is" Basis

THE SITE AND ALL CONTENT, SERVICES, FEATURES, AND INFORMATION PROVIDED THEREON ARE OFFERED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMISSIBLE UNDER APPLICABLE LAW, HANGRY JOE'S EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

• WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT;
• WARRANTIES THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS;
• WARRANTIES REGARDING THE ACCURACY, COMPLETENESS, TIMELINESS, OR RELIABILITY OF ANY CONTENT OR INFORMATION ON THE SITE;
• WARRANTIES THAT DEFECTS WILL BE CORRECTED;
• WARRANTIES REGARDING THE QUALITY, TASTE, SAFETY, OR SUITABILITY OF ANY FOOD PRODUCT.

Some jurisdictions do not allow the exclusion of implied warranties; accordingly, some of the above exclusions may not apply to you. In such jurisdictions, the scope of any implied warranty shall be limited to the minimum extent permitted by applicable law.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE FEDERAL AND STATE LAW, INCLUDING THE LAWS OF THE STATE WHERE HANGRY JOE'S IS PRINCIPALLY LOCATED, HANGRY JOE'S AND ITS OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, LICENSORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES;
• PERSONAL INJURY OR PROPERTY DAMAGE ARISING FROM YOUR ACCESS TO OR USE OF THE SITE OR SERVICES;
• UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA;
• ANY BUGS, VIRUSES, TROJAN HORSES, OR SIMILAR HARMFUL CODE TRANSMITTED TO OR THROUGH THE SITE BY ANY THIRD PARTY;
• ANY ERRORS OR OMISSIONS IN ANY CONTENT OR ANY LOSS OR DAMAGE INCURRED AS A RESULT OF YOUR USE OF ANY CONTENT POSTED, TRANSMITTED, OR MADE AVAILABLE VIA THE SITE.

IN ANY EVENT, HANGRY JOE'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SITE OR SERVICES SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT PAID BY YOU TO HANGRY JOE'S IN THE SIX (6) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED UNITED STATES DOLLARS ($100.00).

The limitations of liability set forth above are fundamental elements of the basis of the bargain between Hangry Joe's and you. Some states do not allow the exclusion or limitation of liability for consequential or incidental damages, so the above limitations may not fully apply in those jurisdictions.

11. Indemnification

You agree to defend, indemnify, and hold harmless Hangry Joe's and its owners, officers, directors, employees, agents, contractors, licensors, suppliers, and affiliates from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or related to:

• Your violation of these Terms;
• Your use or misuse of the Site or any services offered thereon;
• Your violation of any applicable federal, state, or local law, rule, or regulation;
• Your infringement or violation of any intellectual property or other rights of any third party;
• Any User Content you submit, post, transmit, or make available through the Site;
• Any fraudulent, deceptive, or harmful conduct by you in connection with your use of the Site or services.

Hangry Joe's reserves the right, at its own expense, to assume the exclusive defense and control of any matter subject to indemnification by you, and in such case, you agree to cooperate fully with our defense of such claims. You shall not settle any claim without our prior written consent.

12. Governing Law and Jurisdiction

These Terms, and any disputes arising out of or related to these Terms or your use of the Site, shall be governed by and construed in accordance with the laws of the United States of America and the applicable laws of the state in which Hangry Joe's is principally located, without regard to its conflict of law principles.

To the extent any legal action is permitted under these Terms (see Dispute Resolution below), you agree that any such action shall be brought exclusively in the appropriate federal or state courts located in the jurisdiction where Hangry Joe's is principally domiciled. You hereby irrevocably consent to the personal jurisdiction and venue of such courts and waive any objection to the laying of venue of any such proceeding in such courts.

Hangry Joe's operates in compliance with all applicable United States federal laws, including but not limited to the Federal Trade Commission Act (15 U.S.C. § 41 et seq.), the Americans with Disabilities Act (ADA), the CAN-SPAM Act, the Children's Online Privacy Protection Act (COPPA), and other applicable food safety and consumer protection regulations. Where applicable under California law, the rights of California consumers are governed by the California Consumer Privacy Act of 2018 as amended by the California Privacy Rights Act of 2020 (CCPA/CPRA), which are addressed in our Privacy Policy.

13. Dispute Resolution

13.1 Informal Resolution

Before initiating any formal dispute proceeding, you agree to first contact Hangry Joe's at [email protected] and provide a written description of the dispute, the relief you are seeking, and your contact information. Both parties agree to attempt in good faith to resolve any dispute informally within thirty (30) days of such notice. If the dispute is not resolved within that period, either party may proceed as outlined below.

13.2 Binding Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

Except for disputes that qualify for small claims court, and except as otherwise expressly stated herein, any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, or your use of the Site or services (collectively, "Disputes"), shall be resolved exclusively by binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, which are available at www.adr.org.

The arbitration shall be conducted in the English language. The arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction. Each party shall bear its own costs and fees unless the arbitrator determines that the claim was frivolous or brought in bad faith, in which case the arbitrator may award the prevailing party its attorneys' fees and costs.

13.3 Class Action Waiver

YOU AND HANGRY JOE'S EACH AGREE THAT ANY PROCEEDINGS TO RESOLVE DISPUTES WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION. IF FOR ANY REASON A CLAIM PROCEEDS IN COURT RATHER THAN IN ARBITRATION, BOTH PARTIES WAIVE ANY RIGHT TO A JURY TRIAL.

13.4 Exceptions

Notwithstanding the above, either party may seek emergency injunctive relief in a court of competent jurisdiction to prevent irreparable harm or protect intellectual property rights pending resolution of a dispute through arbitration.

14. Term and Termination

These Terms shall remain in full force and effect for as long as you access or use the Site. Hangry Joe's reserves the right, at its sole discretion, to:

• Terminate or suspend your access to the Site or any portion thereof, with or without notice, for any reason or no reason, including if we believe you have violated these Terms;
• Discontinue the Site or any service, product, or feature at any time without liability.

You may terminate your account at any time by contacting us at [email protected] and requesting account deletion. Upon termination, your right to use the Site and its services will immediately cease.

All provisions of these Terms that by their nature should survive termination shall survive, including without limitation provisions relating to intellectual property rights, disclaimers, limitation of liability, indemnification, governing law, and dispute resolution.

15. Changes to Terms

Hangry Joe's reserves the right to revise and update these Terms at any time and at our sole discretion. When we make material changes to these Terms, we will update the "Last Updated" date at the top of this page and, where appropriate, notify you via email or a prominent notice on the Site.

19. Force Majeure

In the event of a force majeure event, we will provide notice as soon as reasonably practicable and will use commercially reasonable efforts to resume performance as quickly as possible.

20. Severability

If any provision of these Terms is found by a court of competent jurisdiction or arbitrator to be invalid, illegal, or unenforceable under applicable law, such provision shall be modified to the minimum extent necessary to make it enforceable, or, if such modification is not possible, shall be deemed severed from these Terms. The invalidity, illegality, or unenforceability of any provision shall not affect the validity or enforceability of any other provision, and the remaining provisions shall continue in full force and effect.

The parties acknowledge that it is their intention that these Terms shall be enforced as written, and in the event of any invalidity, the parties agree to negotiate in good faith to substitute a valid provision that achieves the same economic and commercial effect as the invalid provision.

21. Waiver

No failure or delay by Hangry Joe's to exercise or enforce any right or provision of these Terms shall constitute a waiver of such right or provision. Any waiver of a provision must be in writing and signed by an authorized representative of Hangry Joe's to be effective. A waiver of any breach or default shall not constitute a waiver of any subsequent breach or default of the same or any other provision.

22. Entire Agreement

These Terms, together with our Privacy Policy and any additional terms and conditions incorporated by reference or presented at the time you use specific features or services, constitute the entire and exclusive agreement between you and Hangry Joe's with respect to your use of the Site and services. These Terms supersede all prior and contemporaneous negotiations, discussions, representations, warranties, and agreements, whether oral or written, between you and Hangry Joe's regarding their subject matter.

23. No Third-Party Beneficiaries

These Terms are entered into solely between you and Hangry Joe's and do not create any third-party beneficiary rights. No person or entity other than the parties to these Terms shall have any right to enforce any provision of these Terms.

24. Assignment

You may not assign or transfer any of your rights or obligations under these Terms without the prior written consent of Hangry Joe's. Hangry Joe's may freely assign or transfer these Terms, or any rights or obligations hereunder, in whole or in part, to any affiliate, successor, or acquirer of all or substantially all of our business or assets without your consent. These Terms shall be binding upon and inure to the benefit of the parties and their respective permitted heirs, successors, and assigns.
